Pair account closure with the final return
Portland's Revenue Division says a sold business should notify it to close applicable accounts. Its instructions call for the final business tax return and an Out of Business form or equivalent statement.
Provide the buyer's name and address and explain whether all activity stopped or only activity within the relevant local jurisdictions ended.
Check the exceptions before closing
Installment sale income can require continuing annual filings. Retaining property to rent, or continuing local services, can also mean the account should remain open.
A sale date alone is therefore not enough to decide. Ask your CPA to review what income and activities will continue after closing.
Keep a record of the decision
- Identify the tax entity that earned the sale proceeds.
- List payments expected after closing.
- Record retained property and continuing services.
- Keep copies of final filings and closure correspondence.
Entity changes can involve a new account rather than a simple name edit. Confirm the path with the Revenue Division before assuming the buyer can use your existing registration.
